Notice Regarding Reorganization Among Consolidated Subsidiaries in the Japan Group

Nippon Paint Holdings Co., Ltd. (“NPHD”) hereby announces that, effective January 1, 2027, the Nippon Paint Group will implement a reorganization (the “Reorganization”) involving its consolidated subsidiaries in Japan. Specifically, the business operations of Nippon Paint Surf Chemicals Co., Ltd. (“NPSU”), a consolidated subsidiary, will be split and integrated into Nippon Paint Automotive Coatings Co., Ltd. (“NPAC”) and Nippon Paint Industrial Coatings Co., Ltd. (“NPIU”), both of which are also consolidated subsidiaries. Details are as set forth below.


  1. Purpose of the Reorganization
  2. The Japan Group has been advancing organizational management to achieve further growth through a matrix structure in which businesses are overseen by four functional CXOs. Going forward, the Group will transition to a structure that enables the integrated provision of surface treatment products and coatings products, which have previously been provided separately by each subsidiary, across the entire Group. Through this new structure, the Group aims to further strengthen product development and technical service capabilities, thereby enhancing competitiveness and customer satisfaction.

    January 1, 2027


    (2)Overview

    The functions related to automotive surface treatment agents, excluding production functions currently held by NPSU, will be split and absorbed by NPAC. In addition, the general industrial surface treatment agent business and all production functions of the surface treatment agent business currently held by NPSU will be absorbed by NPIU. Accordingly, NPSU will be dissolved.

    • Contract works and design management for coatingand ancillary work
    • Sales of blood testing materials
