Notice of Completion of Reorganization in the Americas
Nippon Paint Holdings Co., Ltd. (Headquarters: Chuo-ku, Tokyo; Chairman, President and CEO: Masaaki Tanaka), announces that Nippon Paint Automotive Coatings Co., Ltd. (NPAC), its group company, has completed the reorganization of its Americas region as of January 1, 2021. In addition, the preparations are underway to reorganize the European region, with operations under the new organization scheduled to commence at the beginning of July, 2021.
By reorganizing the automotive coatings business in the Americas and Europe under the new NPAC, we aim to maximize shareholder value by increasing management efficiency, strengthening governance, and clarifying accountability.
1. Effective January 1, 2021, the Americas were reorganized as follows:
- NPA Coatings Inc., NB Coatings, Inc. and Nippon Paint Automotive Americas, Inc. merged under the company name Nippon Paint Automotive Americas, Inc. (NPAA).
- NB Coatings Canada, Inc. and NPA Coatings Canada, Inc. merged under the company name NPAA Canada, Inc. NB COATINGS DE MEXICO SDERL DE CV. changed its name to Nippon Paint Automotive Americas de Mexico S. de R.L. de C.V.(NPAA MX).
2. Operation will start in early July 2021, the European region is reorganized as follows:
The corporate form of BOLLIG & KEMPER GMBH & CO. KG (Germany), a wholly owned subsidiary of Nippon Paint Holdings Co., Ltd. that develops, manufactures and sells automotive paints, will become a limited company and the company name will be changed to Nippon Paint Automotive Europe GmbH (the new NPAE). In addition, the name of other legal entities in Europe will be changed to NIPPON PAINT. The new NPAE will be put into operation as the NPAC European Business Headquarters from the beginning of July. Other details including company name will be announced after the process is completed.
Through the integrated operation of the Nippon Paint Group, including the reorganization of the automotive business in Europe and the Americas, we aim to become a leading company in the automotive coatings business by providing products and one-stop integrated services that further meet the needs of our customers.
