Notice Regarding the Reorganization of Sales Structure among Consolidated Subsidiaries in the Japan Group

Nippon Paint Holdings Co., Ltd. (“NPHD”) hereby announces that it has decided to reorganize the sales structure of the Japan Group (the “Reorganization”) by consolidating the sales and technical functions of AS Paint Co., Ltd. (hereinafter, “ASP”) and Nippe Home Products Co., Ltd. (hereinafter, “NHP”), both subsidiaries of Nippon Paint Co., Ltd. (hereinafter, “NPTU”), a consolidated subsidiary of NPHD, effective January 1, 2027. Details are provided below.

1. Purpose of the Reorganization

The Japanese market is undergoing significant change, driven by shifts in social structure, including population decline, and increasingly diverse and sophisticated customer needs. To respond to these environmental changes and continue delivering greater value to customers, we will bring together the expertise and strengths that ASP and NHP have cultivated and establish a structure that integrates their sales capabilities, technical expertise, and product strengths. This will enable sales and technical teams to collaborate on customer proposals from the early stages of sales discussions, thereby strengthening our competitiveness and customer satisfaction.

• ・ASP’s sales and technical functions will be consolidated into NHP.
• ・On the same date, NHP will change its trade name to “Nippon Paint Commerce Co., Ltd.”.

4. Impact on Consolidated Financial Results

The impact of the Reorganization on NPHD’s consolidated financial results is expected to be insignificant.
